Sanima GIC Insurance Limited successfully conducted its 8th Annual General Meeting (AGM) on May 20, 2026, in Kathmandu, with the participation of board members, senior executives, the Chief Executive Officer, and a large number of shareholders.
The meeting was chaired by Kunal Kayal. According to the company, shareholders representing 51.60 percent of the paid-up capital were present either in person or through proxy, ensuring the quorum and validity of the meeting. A total of 730 shareholders participated in the AGM.
During the meeting, the company’s annual report for fiscal year 2081/82 was presented and approved. Detailed discussions were held on the balance sheet, profit and loss statement, and cash flow statement. The appointment of external auditors for the upcoming fiscal year was also finalized.
The AGM approved a cash dividend of 0.2632 percent of the paid-up capital. In addition, shareholders endorsed a 5 percent bonus share distribution, amounting to NPR 107.5 million.
The meeting also granted authority to the board of directors to review and adjust the company’s capital structure following the previously approved 17 percent rights share issuance. Expenses incurred during the fiscal year were also ratified in accordance with prevailing company laws.
Shareholders actively participated in the discussions, raising concerns and suggestions regarding the company’s performance and governance. While some expressed dissatisfaction over the lower dividend compared to the previous year, others appreciated the company’s performance amid a challenging economic environment. Shareholders also emphasized the need for timely AGMs, improved use of corporate social responsibility funds, and stronger financial transparency.
Overall, the AGM reflected steady progress for Sanima GIC Insurance despite economic pressures. The approval of both cash dividends and bonus shares reaffirmed the company’s commitment to delivering returns to shareholders, while discussions highlighted expectations for stronger performance and higher returns in the coming years.
