United Ajod Insurance Limited (UAIL) has announced its 32nd Annual General Meeting (AGM), where shareholders will consider the company’s proposed dividend distribution along with other financial and governance agendas.
According to the decision of the company’s Board of Directors, the AGM will be held on Ashad 31, 2083 (Wednesday) at 10:30 AM at Amrapali Banquet Catering and Events Pvt. Ltd., Baluwatar, Kathmandu.
Dividend Proposal on the Agenda
One of the key special agendas of the meeting will be the approval of the proposed dividend for shareholders.
The company has proposed distributing dividends based on its current paid-up capital of Rs. 2.10 billion.
The proposed distribution includes:
- 4.2857% bonus shares, and
- 0.2256% cash dividend for tax purposes related to the bonus shares.
If approved by the AGM, eligible shareholders will receive the dividend according to the company’s announced schedule and applicable procedures.
Financial Statements and Annual Report to Be Approved
Alongside the dividend proposal, shareholders will also discuss and approve:
- The Annual Report of the Board of Directors for Fiscal Year 2081/82,
- The Auditor’s Report,
- The company’s Profit and Loss Account,
- Cash Flow Statement, and
- Other related financial statements and schedules.
The AGM will provide shareholders an opportunity to review the company’s financial performance and operational progress over the previous fiscal year.
Book Closure Date Announced
For the purpose of AGM participation and dividend eligibility, United Ajod Insurance has fixed Ashad 19, 2083 as the book closure date.
Accordingly, shareholders who maintain ownership and complete share transactions in NEPSE up to Ashad 18 and remain recorded in the company’s shareholder register will be eligible:
- To participate in the AGM, and
- To receive the proposed dividend.
Investors holding UAIL shares will now be watching for shareholder approval and the subsequent implementation of the approved dividend distribution.
